These Terms of Use ("Terms") govern your access to and use of the Data Room.io platform (the "Platform"), operated by Data Room.io ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must stop using the Platform immediately.
Data Room.io is a software-as-a-service platform that enables businesses ("Tenants") to create and manage secure, branded data rooms for their own clients and end users. We are a technology provider only.
We are not a financial services provider, investment adviser, broker, lender, or issuer. Nothing on this Platform — and nothing made available through any data room hosted on this Platform — constitutes financial, investment, legal, tax, or accounting advice from Data Room.io.
The Platform is provided on an "as is" basis. Any content, documents, materials, or information made available through a Tenant's data room are published solely by that Tenant and not by Data Room.io.
We disclaim all liability and responsibility arising from any reliance placed on content published by Tenants. You should independently verify any information before acting on it. If you have questions about content within a specific data room, contact the Tenant who operates it directly.
Tenants who license the Platform are solely responsible for:
Data Room.io does not review, approve, endorse, or verify any content published by Tenants. We are not a party to any transaction, agreement, or investment made between a Tenant and their end users.
Nothing on this Platform should be construed as a recommendation, solicitation, or offer to buy or sell any financial product, security, or instrument. Many financial products involve significant risk and may not be suitable for all investors. You should seek independent professional advice before making any investment decision.
Data Room.io has no responsibility for — and expressly disclaims all liability in connection with — any investment decision made by you in reliance on content accessed through a Tenant's data room.
Access to the Platform is provided on a temporary basis. We reserve the right to modify, suspend, or withdraw the Platform at any time without notice and without liability to you.
You are responsible for ensuring your access to the Platform complies with all applicable laws and for keeping your login credentials secure. You must not share your access credentials with any other person.

We reserve the right to suspend or terminate your access immediately if we determine, in our sole discretion, that you have breached these Terms or used the Platform in an unacceptable manner.
All intellectual property rights in the Platform — including its design, code, branding, and functionality — are owned by or licensed to Data Room.io. Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the Platform in accordance with these Terms.
Content uploaded by Tenants remains the intellectual property of the Tenant or the relevant rights holder. Data Room.io claims no ownership over Tenant content.
To the maximum extent permitted by applicable law, we make no representations or warranties that:

To the maximum extent permitted by applicable law, Data Room.io shall not be liable for any loss, damage, or expense — whether direct, indirect, incidental, consequential, or otherwise — arising from or in connection with:
In no event shall our aggregate liability to you exceed the amount you have paid to us (if any) in the 12 months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Data Room.io, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including legal fees — arising from or in connection with your use of the Platform, any breach of these Terms, or any violation of applicable law by you.
The Platform may contain links to third-party websites or services. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.
Your use of the Platform is also governed by our Privacy Notice. By using the Platform, you consent to the collection and use of your information as described therein.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms without affecting the validity or enforceability of the remaining provisions.
We may revise these Terms at any time by updating this page. Material changes will be communicated to registered users. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the DIFC Courts, Dubai.
